IMOM SOFTWARE LICENSE AGREEMENT, USER ACKNOWLEDGEMENT & RISK DISCLOSURE
Effective Date: The date and time when you create your IMOM Portal account or confirm acceptance during registration (recorded by the service). Please read this Agreement carefully before creating an account or using IMOM Portal. By checking "I agree" during registration, installing, accessing, or using IMOM, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement. 1. Definitions IMOM refers to the software, desktop application, web services, AI models, APIs, cloud services, plugins, updates, and related components. User refers to the individual or organization using IMOM. Broker refers to any third-party stock broker connected by the user. Exchange refers to any securities exchange. AI Engine refers to the machine learning models used to generate market analysis, predictions, alerts, or trading decisions. 2. Nature of the Software IMOM is a software platform designed to assist users by providing: - Market monitoring - AI-generated trading insights - Technical analysis - Portfolio monitoring - Automated trading based on user-defined rules - Broker connectivity - Risk management tools IMOM is a technology platform only. IMOM is not a stock broker, investment adviser, portfolio manager, research analyst, wealth manager, or financial institution. 3. No Investment Advice All information provided by IMOM, including: - Buy signals - Sell signals - Hold signals - AI recommendations - Confidence scores - Profit targets - Stop-loss values - Technical indicators - Charts - Predictions - Alerts is provided solely for informational purposes. Nothing in IMOM constitutes: - Investment advice - Financial advice - Legal advice - Tax advice - Research recommendations - Personalized investment recommendations Users are solely responsible for evaluating every trade before execution. 4. AI Limitations The User understands and accepts that: - AI predictions are probabilistic. - AI can be incorrect. - AI models may: - Misinterpret market conditions - Produce false signals - Miss profitable opportunities - Generate losing trades - Fail during abnormal market conditions No AI model can accurately predict future market movements. 5. No Guarantee of Profit IMOM makes absolutely no guarantee regarding: - Profitability - Accuracy - Future returns - Winning percentage - Portfolio growth - Wealth creation Past performance does not guarantee future results. 6. Market Risk Trading and investing involve substantial financial risk. The User acknowledges that they may lose: - Part of their investment - Their entire investment - Margin funds - Leveraged positions The User agrees to accept all market risks. 7. Auto Trading Authorization When Auto Trading is enabled, the User voluntarily authorizes IMOM to submit orders to the linked broker account according to the trading rules and settings configured by the User. The User understands that IMOM will not seek additional confirmation before each automated trade unless such confirmation has been enabled by the User. The User remains solely responsible for all orders submitted through IMOM. 8. User Responsibility The User agrees to: - Verify all broker settings. - Verify trading rules. - Configure appropriate risk limits. - Monitor their trading account. - Maintain sufficient account balance and margin. - Keep login credentials secure. - Review executed trades regularly. - Use IMOM responsibly. 9. Broker Responsibility Broker services are provided by independent third parties. IMOM is not responsible for: - Broker outages - API failures - Authentication failures - Order rejection - Margin rejection - Exchange connectivity issues - Delayed execution - Partial execution - Duplicate execution caused by broker systems 10. Exchange Risk The User acknowledges that exchanges may: - Halt trading - Suspend securities - Modify trading rules - Reject orders - Delay execution - Experience technical failures IMOM has no control over exchange operations. 11. Market Data Market data may originate from third-party providers. Data may be: - Delayed - Incorrect - Incomplete - Interrupted IMOM does not guarantee the accuracy or completeness of market data. 12. Internet & Technical Risks Trading depends upon: - Internet connectivity - Power supply - Computer hardware - Operating system - Broker APIs - Exchange systems Failures may prevent or delay order execution. The User accepts these risks. 13. Risk Controls Although IMOM may provide: - Stop-loss - Trailing stop-loss - Profit booking - Position sizing - Risk management These features cannot guarantee loss prevention. Unexpected market conditions may result in losses greater than intended. 14. Software Updates IMOM may install updates that improve: - Security - Performance - Features - Bug fixes - AI models Users are encouraged to remain on supported versions. 15. User Conduct The User agrees not to: - Reverse engineer the software. - Bypass licensing. - Modify security features. - Abuse APIs. - Use IMOM for unlawful purposes. - Attempt unauthorized access to IMOM systems. 16. Intellectual Property All copyrights, trademarks, source code, AI models, algorithms, interfaces, branding, and documentation remain the exclusive property of IMOM and its licensors. No ownership rights are transferred to the User. 17. Privacy IMOM may collect technical information required for: - Authentication - Licensing - Error reporting - Software updates - AI improvements - Usage analytics - Security monitoring IMOM will process such information in accordance with its Privacy Policy. 18. Limitation of Liability To the fullest extent permitted by applicable law, IMOM, its owners, developers, employees, contractors, affiliates, licensors, and partners shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of or inability to use the software. This includes, without limitation: - Trading losses - Lost profits - Loss of investment - Margin calls - Missed trading opportunities - Data loss - Service interruptions - Software defects - AI prediction errors - Broker failures - Exchange failures - Internet failures - Hardware failures - Third-party service failures The User assumes full responsibility for all investment decisions and trading activities. 19. Indemnification The User agrees to indemnify and hold harmless IMOM and its affiliates from any claims, losses, liabilities, damages, costs, or expenses arising from: - Use of the software - Violation of this Agreement - Misuse of broker accounts - Violation of applicable laws - Trading decisions made by the User 20. Regulatory Compliance The User is solely responsible for complying with all applicable laws, regulations, exchange rules, broker requirements, and tax obligations in their jurisdiction. The User is responsible for determining whether the use of IMOM complies with applicable regulatory requirements. 21. Suspension and Termination IMOM may suspend or terminate access if: - The Agreement is violated. - Illegal activity is suspected. - Security risks are detected. - Software misuse is identified. 22. Governing Law This Agreement shall be governed by and construed in accordance with the laws applicable in the jurisdiction specified by IMOM. Any disputes shall be subject to the exclusive jurisdiction of the competent courts identified by IMOM in its legal documentation. 23. Entire Agreement This Agreement constitutes the entire understanding between IMOM and the User regarding the use of the software. 24. User Acknowledgement By selecting "I Agree", I acknowledge and agree that: - I understand trading involves significant financial risk. - I may lose part or all of my invested capital. - AI predictions may be inaccurate. - IMOM does not provide investment advice. - IMOM does not guarantee profits. - I am solely responsible for every trade executed using my broker account. - I authorize IMOM to submit orders according to my configured settings when Auto Trading is enabled. - I understand broker, exchange, network, or software failures may affect trading. - I accept full responsibility for monitoring my account. - I have read and agree to this Agreement.
